These Terms of Service (“Terms”) govern your use of the Warehouse Exchange platform (“WEx,” “we,” “us”) operated by Optzzchain, Inc., a Delaware corporation doing business as Warehouse Exchange. By creating an account or using the platform you agree to these Terms. If you don’t agree, don’t use the platform.

1. What WEx Does

WEx is a clearinghouse marketplace that matches businesses needing flexible warehouse space (“buyers”) with property owners or operators offering capacity (“suppliers”). WEx is not a party to the lease, license, or storage agreement between buyer and supplier — we facilitate the match, the agreement signing, payments, and dispute support.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract. You’re responsible for the accuracy of information you provide and for all activity under your account. Notify us promptly at support@warehouseexchange.com if you suspect unauthorized access.

3. Listings & Matches

Suppliers represent that they have the right to lease the space they list. Listings must accurately describe the space, available square footage, rate, and material features. WEx may pause, edit, or remove listings that appear inaccurate, fraudulent, or designed to circumvent the platform.

Buyers represent that information they submit (size requirements, timing, intended use) is genuine and that they intend to engage through the platform if a match is accepted.

4. Off-Platform Circumvention

Because WEx invests in matching, payments, and dispute infrastructure, both parties agree not to circumvent the platform by closing deals off-WEx with counterparties they discovered through WEx. Listings or accounts that appear designed to facilitate circumvention may be paused or removed without notice.

5. Fees & Payments

WEx earns revenue through a spread on the buyer-paid rate, a platform fee, or both, disclosed at the time of booking. Buyer payments are processed via Stripe; suppliers receive payouts to their connected Stripe account on the payment schedule shown in the agreement. Security deposits are held during the lease term and released (subject to deductions) per the agreement’s deposit-return clause.

6. E-Signature

Agreements are sent for electronic signature via Documenso. Both parties consent to electronic signatures as legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state Uniform Electronic Transactions Act (UETA) statutes.

7. Cancellation, Move-Out, Disputes

Cancellation rules, notice periods, late fees, and damage assessments are governed by the specific agreement signed for each engagement. WEx’s role in disputes is limited to providing the audit trail (signed agreement, payment history, communication logs) and facilitating discussion. WEx does not adjudicate disputes; both parties retain their legal rights.

8. Acceptable Use

You agree not to:

  • Use the platform for illegal goods, hazardous storage outside listed capability, or activities that violate the supplier’s permitted-use clause
  • Scrape, reverse-engineer, or interfere with the platform’s operation
  • Submit false reviews, listings, or buyer requests
  • Attempt to access another user’s account or data

9. Intellectual Property

The WEx platform, its design, logos, and code are owned by Optzzchain, Inc. You retain ownership of content you submit (listings, photos, communications) and grant WEx a non-exclusive license to use that content to operate and promote the platform.

10. Disclaimers

The platform is provided “as is.” WEx does not guarantee that listings are continuously available, that matches will close, or that disputes will resolve in any party’s favor. Property condition, suitability, and legal title are the supplier’s responsibility; due diligence is the buyer’s.

11. Limitation of Liability

To the maximum extent permitted by law, WEx’s total liability for any claim arising from your use of the platform is limited to the platform fees you paid to WEx in the twelve months preceding the claim. WEx is not liable for indirect, consequential, or lost-profits damages.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes between you and WEx will be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may pursue small-claims court relief or injunctive relief in court.

13. Changes

We may update these Terms. Material changes will be communicated by email to active account holders. Continued use after the effective date constitutes acceptance.
